USER AGREEMENT FOR THE KINGMAKER FOUNDRY PROGRAM

This Agreement ("Agreement") is made and entered into by and between Farewell Holdings LLC, a limited liability company registered in Florida ("Company"), and the individual enrolling in the Kingmaker Foundry program ("Participant"). By enrolling in the Kingmaker Foundry program ("Program"), Participant agrees to the terms outlined below.

1. Program Overview

The Kingmaker Foundry is a 12-week group coaching program designed to provide educational and coaching services to business leaders. The Program includes weekly calls, somatic alignment practices, and resources to help participants achieve business and personal alignment.

2. Nature of Services

Participant acknowledges and agrees that:

  • The Program provides coaching and educational services and is not therapy, counseling, or a substitute for mental health services.

  • While financial shifts and improvements may occur as a result of participating in the Program, no revenue or financial results are guaranteed.

3. Confidentiality

Confidentiality is of paramount importance in this Program.

  • Participants agree to keep all information shared by others in the Program confidential and not to disclose or discuss such information outside of the group.

  • The Company will not share Participant’s personal stories or case studies without obtaining express written consent.

4. Intellectual Property

All materials, frameworks, tools, and content provided in the Program are proprietary to the Company.

  • The Company retains sole ownership of all intellectual property created or shared within the Program.

  • Participants are granted a limited, non-exclusive, non-transferable license to use Program materials for personal and professional use.

  • Participants may not reproduce, distribute, or publicly share any Program materials without prior written permission from the Company.

5. Consent to Share Case Studies

By signing this Agreement, Participant may provide consent for the Company to use anonymized details of their case as part of marketing or Program content. If consent is granted, no identifying information will be used without explicit written permission.

6. Investment and Payment

The investment for the Program is specified at the time of enrollment. Participants agree to:

  • Pay all fees in accordance with the agreed-upon payment schedule.

  • Understand that all payments are non-refundable, regardless of participation or results.

7. Dispute Resolution and Arbitration Clause

Any disputes arising from this Agreement or the Program will be resolved as follows:

  • Informal Resolution: Parties agree to attempt to resolve disputes informally in good faith before initiating formal proceedings.

  • Arbitration: If a resolution cannot be reached, disputes will be resolved through binding arbitration conducted in Florida in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.

  • Each party will bear its own costs and expenses related to arbitration, except that the arbitrator may award reasonable attorneys’ fees and costs to the prevailing party.

8. Participant Responsibilities

Participants agree to:

  • Attend all scheduled calls and participate actively in the Program.

  • Take full responsibility for implementing strategies and practices shared during the Program.

  • Maintain the confidentiality of other Participants and uphold the ethical standards of the group.

9. Non-Disparagement Clause

Participant agrees not to engage in any form of disparagement, negative public commentary, or defamatory statements about the Program, the Company, or its representatives.

10. Force Majeure

The Company shall not be held responsible for any delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, or technical interruptions.

11. Entire Agreement

This Agreement constitutes the entire understanding between the Participant and the Company concerning the Program and supersedes any prior agreements, representations, or discussions.

12. Amendments

This Agreement may only be amended in writing, signed by both the Participant and the Company.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

Acknowledgment and Acceptance By enrolling in the Program, the Participant acknowledges they have read, understood, and agree to the terms and conditions outlined in this Agreement.
